The Board of Directors of the Company and its members guarantee that there is no false or misleading statement or material omission in this announcement and shall be severally and jointly liable for the truthfulness, accuracy and completeness of its contents.

 

The Profit Distribution Plan 2009 had been reviewed and adopted by the Annual Shareholders’ General Meeting 2009 of the Company.  A cash dividend of 2 Yuan per 10 shares (incl. tax) shall be distributed to all shareholders.  Dates of share registration for the profit distribution were June 4, 2010 (A share) and June 9, 2010 (B share, last trading date for B share was June 4, 2010) respectively; dates of cash dividends distribution were June 11, 2010 (A share) and June 21, 2010 (B share) respectively.  Now the Profit Distribution Plan 2009 of the Company had already been implemented.

 

The Company is applying to CSRC for the private placement now.  According to the relevant contents contained in the resolutions of the Second Extraordinary Shareholders’ General Meeting 2009 of the Company, the lowest price of the private placement was 20.49 yuan/share; if the Company’s shares have dividend payments, bonus shares, capitalization of public reserves and other ex-dividend issues during the period between the announcement of Board of Directors’ resolution and the offering date, the lowest price would be adjusted accordingly.

 

Therefore, the lowest issuing price and issuing amount have to be adjusted after the cash dividends distribution.  The issuing price is now modified to be not lower than 20.29 yuan/share (from the original 20.49 yuan/share) and the issuing amount is modified to be no more than 136.3 million (from the original 135 million).

 

There is no change for other items of the placement.
